Knights of the Round Table Blind Dutch Auction Terms and Conditions

1. Auction Overview

1.1 Definition: A Blind Dutch Auction is a bidding process in which participants submit sealed bids without knowledge of any of the other participants' bids.
1.2 Purpose: The Auction aims to fairly distribute the items and related services ("Items”) among the winning participants.

2. Eligibility
2.1 Participants: The Auction is open to individuals who are at least 18 years old and legally able to enter into contracts.
2.2 Exclusions: Employees, agents, or affiliates of the Organizer are not eligible to participate.

3. Bidding Process

3.1 Submission: Participants must submit their bids through the specified platform prior to the end of the auction. Each bid must include the bidder's maximum price they are willing to pay.
3.2 Blind Format: Bidders will not have visibility into other participants' bids.
3.3 Binding Bids: All bids are final and binding once submitted. No changes or withdrawals are allowed after submission.
3.4 Confidentiality: All bid amounts will remain confidential until the Auction concludes.

4. Determining Winners
4.1 Ranking: Bids will be ranked from highest to lowest.
4.2 Clearing Price: The final clearing price will be set by the 24th highest bid. All winning bidders will pay this clearing price, regardless of their individual bid amounts.
4.3 Tie Bids: If multiple bids tie for the 24th highest bid, the Organizer will use a random selection process to break the tie.

5. Payment
5.1 Further Agreements: Organizer, in its sole discretion, may require winners to agree to additional terms applicable to the Knights of the Round Table.
5.2 Payment Due: Winning bidders will be notified via email and must remit payment within 48 hours.
5.3 Failure to Pay: Failure to pay within the specified time frame, or, if applicable, to execute the agreement applicable to Knights of The RoundTable, will result in forfeiture of the bid, and the Organizer reserves the right to offer the Items to the next highest bidder(s). If a bidder fails to pay and forfeits his or her spot, the final clearing price will remain unchanged.

6. Disclaimers and Limitations of Liability
6.1 No Guarantees: Participation in the Auction does not guarantee the purchase of the Item(s).
6.2 Errors: The Organizer is not responsible for technical or communication errors that may affect the bidding process.
6.3 Right to Cancel: The Organizer, in its sole and absolute discretion, reserves the right to modify, cancel, or suspend the Auction for any reason, or no reason whatsoever, including unforeseen circumstances, and at any time.

7. Privacy
7.1 Data Usage: By participating, you consent to the collection and use of your personal information for the purposes of administering the Auction and fulfilling legal obligations.

8. Governing Law and Arbitration
8.1 Jurisdiction: This Agreement and all related documents including all schedules attached and all matters arising out of or relating to this Agreement and the Services provided here under, whether sounding in contract, tort, or statute, are governed by and construed in accordance with the laws of the State of California, without giving effect to any conflict of laws principles that would cause the laws of any other jurisdiction to apply. Any action or proceeding by either of the Parties to enforce this Agreement shall be brought only in any state or federal court located in the State of California, County of Orange. The Parties irrevocably submit to the exclusive jurisdiction of these courts and waive the defense of inconvenient forum to the maintenance of any action or proceeding in such venue.
8.2 Waiver of Jury Trial and Class Action: Each party, to the extent permitted by law, knowingly, voluntarily and intentionally waives its right to a trial by jury and any right to pursue any claim or action arising out of or relating to these Terms on a class or consolidated basis or in a representative capacity.

9. Miscellaneous
9.1 Entire Agreement: These Terms constitute the entire agreement between you and the Organizer regarding the Auction.
9.2 Severability: If any term or provision of these Terms is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction.
9.3 Amendments: The Organizer reserves the right to amend these Terms at any time. By participating in the Auction, you confirm that you have read, understood, and agree to these Terms.
